Hello Lawyers -

 

I am in need of some assistance in regards to setting up a Delaware LLC as well as some help with Trademark & Copyrights.

 

If you happen to be knowledgable in this field, I would love your help or a point on the right direction to someone who can help me. I am open to a barter arrangement, time for time, if I am the type of companion that might interest you.

Nevada is amazing if you value privacy.

 

 

 

I thought this changed this past summer? I got a fairly lengthy note from my registered agent provider that they were relocating outside of Nevada because of the recent changes in tax laws.

 

For reference, my businesses are registered in Texas. For my purposes it was more of a convenience registering where I live ( If I need anything from the State Secretary I can just walk a couple of miles and get everything done that day ). LLCs are only subject to the franchise tax ( 0.5% for gross receipts under 10 million, 0% for gross receipts under 1 million ). And of course I don't have to file state income tax.

 

For taxation or banking purposes, grab an EIN from the IRS. It'll be easier to open a business accounts and provides a certain level of identity protection to studios or companies that request a W-9 from you.

 

As always, a business lawyer will advise you of the best decision as to which state will be best for formation depending on your specific needs.

 

Hmm im not sure. I know I do not have to pay any state tax.. i don't keep up with the corporate tax structure. Last i heard Nevada offers incentives for a lot of businesses to come here.

You are always so well informed. Impressive! Yes, Nevada recently enacted a new “commerce tax” effective this year applicable to businesses (not just corporations) doing business in Nevada. It applies to those with Nevada gross revenue over $4M, which is a low net when you consider it's "gross" not net.

Sounds like you are setting up an S-corp to channel your escorting funds through...very smart idea, actually. What you earn can be routed through that and then you are paid as an employee...for tax purposes, you can say "consultant". Now, are you seeking to "legitimize" escort revenues or are you seeking to make those revenues "disappear" from an IRS point of view? If it is the latter, then you may want to consider an offshore shell company, provided that your annual intake would warrant that option. I know that a small handful of escorts would generate enough income in a year to explore that. If that would apply to you & you considered the offshore option, then you may want to take a look at Panama. If you did decide the do an offshore there, it would cost roughly $1500, and you would have the option of starting a new company there or purchasing a pre-made shelf company. Additionally, for $150 a year starting with the second year, you can be provided with 3 nominee directors, since Panamanian law requires 3 company officers (each gets $50 a year for it). You can have a company up and running in 5 business days....unless you pay an additionaly $250--in which case you would be up in 48 hours.

Not a lawyer here, but I think Kuriosity has some good food for thought. From my business days, Delaware was where most companies incorporated, despite where they were based. But today, the world is changing. Best to vet it thoroughly. After all, it's your financial life, and retirement at stake.

Hi Alec, what exactly would you be bartering for? If the lawyer was giving legal advice for something that would be illegal in the state in which he is practicing law, I wonder if that might cause problems if the law licensing body got wind of it. A barter, I think, is just like payment.

One more thing on the Panama idea....if you did set up a LL.C type entity there, you could set it up so that the company shares are in the form of Bearer Bonds--meaning whoever has physical possession of the bonds owns the company & its assets. Since the company would not be conducting business in Panama, your company pays Zero corporate tax.
